Other than being the owner of the operating entity (C-Corp) which conducts helicopter tours, the Seller is also owner of an S-Corp (A holding entity) which leases operational helicopters to the C-Corp operating entity. S-Corp is lessor and C-Corp is lessee of helicopters owned by the S-corp.
Seller desires to sell both entities, the C-Corp and the S-Corp.
The operating entity C-Corp employs a pool of highly qualified pilots and mechanics.
