Business Description:
A new S.E.C. program allows, for the first time, shares on the OTC, to be sold as Reg. A+ shares. We call the new program, the ‘OTC 251.' For many of you, your company is not at the stage where a complex OTC / Reg. A+ offering is lucrative. The smaller version of Reg. A+, called Tier 1, requires a lot less financials, and no audited financials. You can still use it to get onto the OTC. In the alternative, and less complex is Form Reg. D. You can still post it on an OTC page. We find you a ticker, assist with creating your own, or if you have a ticker symbol that is a reporting company, we can evaluate its eligibility for the OTC 251 program. We write securities offering documents, using S.E.C. templates and file them. If you are a smaller company that wants to get into securities and onto an exchange, we would welcome the opportunity to look at your project. DISCLAIMER: We are experienced securities writers for JOBS Act securities, project creators and implementers, and not consultants. No persons in our organization are brokers, dealers, lawyers, accountants, CPAs or auditors. We do not sell shares, and we do not have any shares to sell. Nothing in this filer support ad can be construed as offering or offering to sell shares. Our primary business is in the sectors of JOBS Act Form Reg. D and Regulation A+. We make concurrent filings on OTC ticker pages, pursuant to the SEC's concurrent filer program, which we call anecdotally, the ‘OTC 251.' We assist with acquiring inactive tickers for our customers. In addition, we assist with creating ticker symbols for our customers. The U.S. Office of Management and Budget (OMB) lists specific numbers of hours assumed to be needed for writing securities. There are no requirements that lawyers write the documents and file them.
